Legal Officer

Maamba Energy Limited (MEL) is jointly owned by Nava Bharat Singapore Pte. Limited and ZCCM-IH Plc.  The Company owns and operates a large-scale coal mine and has also constructed and operates a 300 Mega Watt Coal fired Power Plant to cater for the growing demand for power in Zambia.

Maamba Energy Limited is looking for dynamic and enthusiastic professionals who want to build a career in a large and professionally managed company located in Maamba, Sinazongwe District, of Southern Province.

The successful candidate will be part of the Legal Department. The job offers an attractive package and other conditions of service that are commensurate with the candidate’s qualifications and experience.

Position: Legal Officer

The successful candidate will be part of the Legal Department and will be based in Lusaka. The successful candidate will report to the Legal Manager and Company Secretary.

Job Purpose

The Legal Officer will support the Legal Manager and Company Secretary in overseeing and effectively managing all Legal, regulatory and compliance related matters involving and affecting the Company. The Legal Officer will also support the Legal Manager and Company Secretary in all company secretarial matters relating to the Company including but not limited to preparation of Board of Directors meetings and Board meeting packs and materials and filings at the Companies Registry (PACRA).

Key Responsibilities

a. Effectively manage all legal cases for and against the Company by:

(i) Disposing of all frivolous court cases and claims against the Company;

(ii) Negotiating (where necessary) out of court settlements for court cases by and against the Company and any threatening litigations;

(iii) Provide regular and current status reports to Management and the Board of directors on all litigations by and against the Company;

(iv) Provide legal opinions and / or legal advice to Management and the Board on the merits and demerits of litigations for and against the Company;

(v) Effectively managing and supervising external lawyers of the Company handling all court cases on behalf of the Company;

(vi) Ensuring low and reduced legal costs and fees to the Company

b. Providing legal advice and legal opinions to Management on any matter relating to the Company.

c. Drafting contracts, agreement and any other legal documents relating to and for the Company.

d. Reviewing contracts, agreements (prior to the Company entering into such agreements and contracts) and any other legal documents relating to and for the Company.

e. Liaising with the regulators i.e. ERB, Ministry of Mines, Ministry of Energy and all government ministries, agencies and departments connected with the Company’s business.

f. Assisting the Legal Manager and Company Secretary in the preparation weekly legal reports and current status on litigations by and against the company.

g. Attending to all matters of a legal nature concerning the Company as directed by the Legal Manager and Company Secretary.

Experience and Qualifications

  • Must be a qualified lawyer with a minimum of five (5) years post qualification experience with most of it as a corporate or commercial lawyer.
  • Proven experience in drafting legal documents including court filings.
  • Proven experience in negotiating and drafting complex commercial agreements and contracts.
  • Familiarity with courtroom procedures and legal compliance processes is essential.
  • Strong analytical and research skills.
  • Excellent communication (both written and oral) and interpersonal skills.
  • Must be familiar with Board and corporate governance processes and procedures.
  • Must be familiar with and have an understanding of mining laws as well as those in the energy sector.
  • Having worked in a similar organisation size and in a managerial role or equivalent will be an added advantage.
  • Must be a team player and willing to work with less supervision and tight deadlines.
